Distribution agreements
This agreement falls under the category of distribution agreements and its purpose is to regulate relations between the parties, usually both enterprisers (technically called licensor and licensee), which professionally dedicate themselves to the manufacturing and/or sale of goods. The licensor, that can be a producer/manufacturer or even only a buyer, creates an end market for its products through licensees that undertake, under certain conditions, the risk inherent in the purchase of certain quantities of goods, with the further burden (if any) to reach minimum sales. The licensee, acting as buyer-retailer, permanently undertakes the responsibility for the marketing, in a given area, of the licensor’s products in exchange for a privileged retail position.
